1. ACCEPTANCE OF TERMS

These Terms and Conditions govern your use of apexfleetae's performance vehicle rental services. By booking, accessing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree to these terms, do not use our services.

These terms apply to all users, including individual customers and corporate account holders. Additional terms may apply to specific rental programs and will be specified in rental agreements.

2. DEFINITIONS

Throughout these terms:

• "Service" refers to all vehicle rental programs offered by apexfleetae
• "User" or "Customer" refers to individuals or entities renting vehicles
• "Vehicle" refers to any automobile rented through our service
• "Rental Period" refers to the agreed-upon duration from pickup to return
• "Agreement" refers to the specific rental contract signed for each booking

3. ELIGIBILITY REQUIREMENTS

3.1 Age and License Requirements

To rent a vehicle, you must:

• Be at least 25 years of age
• Hold a valid driver's license for a minimum of two years
• Possess an International Driving Permit if your license is not issued in Taiwan
• Meet any additional requirements specified for high-performance vehicles

3.2 Account Registration

You agree to provide accurate, current, and complete information during registration and rental booking. You are responsible for maintaining the confidentiality of account credentials and for all activities under your account.

4. BOOKING AND RESERVATIONS

4.1 Booking Process

Rental bookings are confirmed upon receipt of required deposit and completion of necessary documentation. Vehicle availability is subject to confirmation. We reserve the right to decline bookings at our discretion.

4.2 Deposit Requirements

A deposit is required to secure all bookings. Deposit amounts vary by rental program and vehicle tier. The balance is due 48 hours before scheduled vehicle delivery or pickup.

4.3 Cancellation Policy

Cancellation terms are as follows:

• Cancellations 7 days or more before rental start: Full deposit refund
• Cancellations 3-6 days before rental start: 50% deposit forfeiture
• Cancellations less than 48 hours before rental start: Full deposit forfeiture
• Weather-related postponements: No penalty with 24 hours advance notice

5. RENTAL TERMS

5.1 Vehicle Condition

Vehicles are delivered in clean, mechanically sound condition with full documentation. You must inspect the vehicle at handover and report any discrepancies immediately. Pre-delivery inspection reports document vehicle condition at the start of each rental.

5.2 Authorized Use

Vehicles may only be used for:

• Legal road use in Taiwan
• Operation by the named driver(s) specified in the rental agreement
• Purposes consistent with the rented vehicle's intended design

5.3 Prohibited Uses

You may not:

• Allow unauthorized drivers to operate the vehicle
• Use the vehicle for commercial transport or delivery services
• Participate in racing, speed tests, or competitive events (unless specifically authorized)
• Operate the vehicle while impaired by alcohol or substances
• Transport illegal goods or engage in illegal activities
• Tow or push other vehicles
• Take the vehicle outside Taiwan without prior written permission

5.4 Vehicle Care

You are responsible for:

• Maintaining proper fluid levels during the rental period
• Reporting mechanical issues immediately
• Securing the vehicle when parked
• Returning the vehicle in the same condition as received

6. PAYMENT TERMS

6.1 Rental Fees

Rental fees are specified in the booking confirmation and include comprehensive insurance, GPS navigation, and 24-hour support. Additional charges may apply for delivery outside standard service areas, extension requests, or additional services.

6.2 Fuel Policy

Vehicles are delivered with a full tank. You are responsible for returning the vehicle with a full tank. Fuel charges at a premium rate will apply if the vehicle is returned without refueling.

6.3 Late Returns

Late returns incur additional charges calculated hourly or daily depending on delay duration. Extensions must be requested in advance and are subject to vehicle availability.

7. INSURANCE AND LIABILITY

7.1 Comprehensive Coverage

All rentals include comprehensive insurance providing collision damage waiver, third-party liability, and personal accident coverage. Coverage details and damage excess amounts are specified in rental agreements.

7.2 Damage Excess

You are responsible for the damage excess amount specified in your rental agreement. This excess applies to collision damage, theft, or vandalism. The excess amount varies by vehicle tier.

7.3 Coverage Exclusions

Insurance coverage does not apply to damage or loss resulting from:

• Prohibited use or violation of rental terms
• Operation by unauthorized drivers
• Gross negligence or reckless driving
• Failure to secure the vehicle properly
• Interior damage or cleaning charges beyond normal wear

8. ACCIDENTS AND BREAKDOWNS

8.1 Reporting Requirements

In case of accident, breakdown, theft, or damage, you must immediately contact our 24-hour support line and local authorities where appropriate. Failure to report incidents promptly may void insurance coverage.

8.2 Documentation

You must obtain and provide police reports for accidents, photos of damage, and contact information for any involved parties. Do not admit fault or liability at the accident scene.

8.3 Replacement Vehicles

Replacement vehicles may be provided for mechanical failures not resulting from prohibited use. Replacement availability is subject to fleet capacity. No replacements are provided for accidents resulting from violations of rental terms.

9. DISCLAIMER OF WARRANTIES

Vehicles are provided in mechanically sound condition but on an "as is" basis regarding suitability for specific purposes. We do not guarantee uninterrupted availability or that vehicles will meet specific performance expectations beyond manufacturer specifications.

While we maintain vehicles to high standards, we cannot guarantee vehicles will be free from minor defects or that all features will function perfectly at all times.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by Taiwan law, our liability is limited to the rental fees paid for the affected booking. We are not liable for indirect, incidental, consequential, or punitive damages.

We are not responsible for delays, cancellations, or service interruptions caused by circumstances beyond our reasonable control, including weather events, traffic conditions, or vehicle unavailability due to unforeseen maintenance needs.

11. INDEMNIFICATION

You agree to indemnify and hold harmless apexfleetae, its employees, and service providers from claims, damages, or expenses arising from your use of rental vehicles, including violations of these terms, traffic violations, accidents caused by your negligence, or unauthorized use of vehicles.

12. TERMINATION

We may terminate a rental agreement immediately and repossess the vehicle if you violate these terms, engage in prohibited use, fail to make required payments, or if we reasonably believe the vehicle is at risk. Termination for cause does not entitle you to refunds.

13. GOVERNING LAW AND DISPUTES

These terms are governed by the laws of the Republic of China (Taiwan). Any disputes arising from these terms or rental agreements shall be subject to the jurisdiction of courts in Taipei City, Taiwan.

We encourage informal resolution of disputes through direct communication with our management team before pursuing legal action.

14. MODIFICATIONS TO TERMS

We may update these terms to reflect changes in our services, legal requirements, or business practices. The "Last Updated" date indicates when changes were made. Material changes will be communicated through email or website notices.

Continued use of our services after term updates constitutes acceptance of revised terms.

15. SEVERABILITY

If any provision of these terms is found unenforceable, the remaining provisions remain in full effect. Unenforceable provisions will be modified to the minimum extent necessary to make them enforceable while preserving their original intent.

16. ENTIRE AGREEMENT

These terms, together with specific rental agreements and our Privacy Policy, constitute the entire agreement between you and apexfleetae regarding rental services. These terms supersede any prior agreements or understandings.
